1. Introduction
Acceptance of our software ecosystem guidelines.
Welcome to NexusERP. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Licensee", or "Customer") and Global Logistics Solutions Inc. ("Company", "We", "Us", or "Our").
Access to and use of our SaaS platform, API interfaces, and mobile applications is strictly conditioned upon your acceptance of and compliance with these Terms. By clicking "Accept" or accessing the system, you certify that you have the legal authority to bind your organization to these conditions.
2. Definitions
"The Platform"
The NexusERP cloud-based software, including inventory, sales, and reporting modules.
"User Data"
Any proprietary logistics information, financial records, or inventory lists uploaded by the client.
3. Account Management
How we manage access, security, and ownership.
Security: Users are solely responsible for maintaining the confidentiality of login credentials and MFA tokens.
Unauthorized Access: Any suspected breach must be reported to security@nexuserp.io within 24 hours.
Organization Ownership: The entity paying for the subscription retains ultimate control over all sub-accounts and data access levels.

4. Permitted Usage
Prohibited Activities
Reverse engineering, scraping, or utilizing the Platform to host unlawful materials is strictly prohibited and will result in immediate termination.
API Limitations
Standard accounts are limited to 10,000 API calls per hour. Exceeding this may result in temporary rate-limiting or overage charges.
5. Payment Terms
Subscription fees are billed in advance on a monthly or annual basis and are non-refundable. All prices exclude applicable sales taxes or VAT unless otherwise stated.
Late Payment Policy
Payments delayed by more than 15 days will result in "Read-Only" access. After 30 days, service will be suspended until the balance is cleared.
6. Liability & Warranties
Limitation of liability
To the fullest extent permitted by law, NexusERP is not liable for indirect, incidental, or consequential damages arising from platform use.
Warranty disclaimer
The service is provided on "as is" and "as available" basis, without warranties of uninterrupted availability, merchantability, or fitness for a particular purpose.
